These Terms and Conditions (the “Terms”) govern your use of the Surfboard Payments website at www.surfboardpayments.com (the “Website”). By accessing the Website, you agree to these Terms. If you don’t, please do not use the Website. These Terms apply to the Website only — separate agreements govern the use of Surfboard’s products and services. The content on this Website is provided for informational purposes only and does not constitute a contractual offer or binding commitment.

1. Introduction and Acceptance of Terms

Surfboard Payments AB is a Swedish limited liability company (sw. aktiebolag) registered under organization number 559214-0437, located in Stockholm, Sweden.

This website is operated by Surfboard Payments, a licensed payment institution headquartered in Stockholm, Sweden. Founded in 2019, we build payments infrastructure. Unifying in-store, online, in-app, and agentic commerce into a single programmable API so merchants and software companies can accept payments anywhere their customers are. Our mission is to make modern payments simple, fast, and developer-friendly.

References to “Surfboard Payments”, “we”, “us”, or “our” in these Terms mean Surfboard Payments AB.

2. Permitted Use

You may use the Website for lawful, informational purposes. In doing so, you agree not to:

  • Use the Website in any way that violates applicable Swedish, EU, or other applicable law or regulation.
  • Transmit unsolicited commercial communications or spam, in contravention of Directive 2002/58/EC (the ePrivacy Directive) or applicable national implementing legislation.
  • Upload or transmit viruses, malware, or any code designed to damage or interfere with our systems or those of third parties.
  • Attempt to gain unauthorised access to the Website, its hosting infrastructure, or any connected systems or databases.
  • Launch denial-of-service or distributed denial-of-service attacks, or engage in any other form of technical interference with the Website.
  • Use automated tools (including crawlers, scrapers, or bots) to extract or reproduce content from the Website for commercial purposes without our prior written consent.
  • Frame or deep-link to any part of the Website without our prior written consent.
  • Impersonate any person or entity, or misrepresent your identity or affiliation.

We reserve the right to restrict or terminate access to the Website, without prior notice, where we have reasonable grounds to believe these Terms have been violated or that continued access poses a risk to us, the Website, or other users.

3. Intellectual Property

All content on the Website — including text, graphics, logotypes, images, video, software, and the overall look and feel — is owned by or licensed to Surfboard Payments AB and is protected under Swedish law, EU Directive 2001/29/EC on copyright and related rights in the information society, and other applicable intellectual property legislation.

We grant you a limited, personal, non-exclusive, non-transferable, and revocable licence to access and view the Website for your own informational purposes. This licence does not extend to:

  • Reproducing, distributing, or publicly communicating any Website content in any medium without our prior written consent.
  • Modifying, translating, or creating derivative works based on Website content.
  • Using Website content for any commercial purpose, including advertising or marketing materials.

The following limited activities do not require our permission: temporary browser copies incidental to normal browsing; caching by your browser for display purposes; and sharing links to publicly accessible pages of the Website.

The Surfboard Payments name, logotype, and associated brand assets are trademarks of Surfboard Payments AB, whether registered or unregistered. They may not be used without our prior written consent, except to the extent permitted by applicable law.

4. Availability and Accuracy of Content

We make reasonable efforts to keep the Website available and its content accurate and current. However, we do not guarantee uninterrupted or error-free access, and we reserve the right to modify, suspend, or discontinue the Website — or any part of it — at any time without prior notice.

Website content may not always reflect the most recent legal, regulatory, or commercial developments. To the extent the Website describes our products and services, that description is for informational purposes only. Availability, features, and pricing are subject to the applicable service agreement.

Nothing in these Terms excludes or limits any statutory rights you may have as a consumer under Swedish or EU law that cannot be waived by contract.

5. Limitation of Liability

To the fullest extent permitted under Swedish law and applicable EU law, Surfboard Payments AB and its affiliates, board members, employees, and agents shall not be liable for any indirect, incidental, special, or consequential loss or damage arising from your use of, or inability to use, the Website. This includes, without limitation, loss of revenue, loss of data, loss of business opportunity, or damage to reputation.

This limitation does not apply where liability arises from wilful misconduct or gross negligence on our part, nor does it affect liability that cannot be excluded or limited under the Swedish Tort Liability Act (skadeståndslagen 1972:207), the Swedish Marketing Act (marknadsföringslagen 2008:486), mandatory EU consumer protection legislation, or any other provision of mandatory Swedish or EU law. Liability for personal injury or death caused by our negligence is not excluded.

We have no control over those sites, do not endorse them, and accept no responsibility for their content, accuracy, or compliance with applicable law. Surfboard Payments AB processes personal data in its capacity as data controller in accordance with Regulation (EU) 2016/679 (the General Data Protection Regulation, “GDPR”) and the Swedish Act supplementing the GDPR (lag (2018:218) med kompletterande bestämmelser till EU:s dataskyddsförordning).

We process visitor data on the following legal bases: our legitimate interest in operating and improving the Website (Article 6(1)(f) GDPR); compliance with legal obligations (Article 6(1)(c) GDPR); and, where required, your consent (Article 6(1)(a) GDPR). As a data subject, you have the following rights under the GDPR, exercisable free of charge: the right of access (Art. 15), the right to rectification (Art. 16), the right to erasure (Art. 17), the right to restriction of processing (Art. 18), the right to data portability (Art. 20), and the right to object to processing (Art. 21). You also have the right to lodge a complaint with the Swedish supervisory authority, Integritetsskyddsmyndigheten (IMY), at imy.se.

Where personal data is transferred to third parties located outside the European Economic Area, Surfboard Payments ensures appropriate safeguards are in place in accordance with Chapter V of the GDPR, including standard contractual clauses (SCCs) where applicable.

The Website uses cookies and similar technologies in accordance with the Privacy Directive (2002/58/EC) as implemented in Swedish law. Non-essential cookies are only placed with your prior consent. Details of the cookies we use, their purpose, and how to manage your preferences is set out here.

8. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, applicable law, or best practice. The “Last updated” date at the top of this page will be revised accordingly. Continued use of the Website after changes have taken effect constitutes acceptance of the revised Terms.

9. Age Restriction

The Website is not directed at individuals under the age of 16. We do not knowingly collect personal data from persons under 16 years of age. If you are under 16, please do not use the Website or provide us with any personal data. If we become aware that we have inadvertently collected data from a person under 16, we will take steps to delete it promptly.

10. Law, Jurisdiction and Disputes

These Terms are governed by and construed in accordance with the laws of Sweden, without regard to its conflict-of-law rules. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Swedish courts, with the District Court of Stockholm (Stockholms tingsrätt) as the court of first instance.

If you are a consumer resident in another EU member state, you retain the benefit of any mandatory consumer protection rights provided by the laws of your country of residence, and you may bring proceedings in your local courts in accordance with applicable EU law.

Consumers within the European Union may also submit complaints via the European Commission’s Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr. Our contact address for ODR purposes is legal@surfboard.se. We are not obliged to participate in ODR proceedings before a specific dispute resolution body, but we will consider any reasonable request to do so in good faith.

11. General Provisions

These Terms, together with our Privacy Policy and Cookies information, constitute the entire agreement between you and Surfboard Payments with respect to your use of the Website, and supersede any prior understandings or agreements on that subject.

If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed, without affecting the validity or enforceability of the remaining provisions.

A failure or delay by Surfboard Payments to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy, nor does it prevent or restrict any further exercise of it.

These Terms are made available in English. In the event of any conflict or inconsistency between different language versions, the English version shall prevail.
